Recap Financial Ventures, LLC AcquiresMajority Interest in Lineage Financial Network, Inc.
Transaction recapitalizes Lineage Bank in Franklin, Tennessee
FOR IMMEDIATE RELEASE
March 18, 2026
FRANKLIN, Tenn. — Recap Financial Ventures, LLC has completed its acquisition of a majority interest in Lineage Financial Network, Inc., the bank holding company for Lineage Bank, the investor group announced Wednesday.
Recap Financial Ventures raised more than $30 million from local investors, including $15 million used to purchase preferred stock and provide an immediate capital infusion into Lineage Financial Network, Inc. and its wholly-owned bank subsidiary, Lineage Bank. The remaining funds will support future needs of the holding company and the bank. The investment strengthens the bank’s capital position and supports the growth of a locally focused financial institution serving Williamson County and the broader Middle Tennessee region.
In late February, the Board of Governors of the Federal Reserve System approved the application of Recap Financial Ventures to become a registered bank holding company and to close and fund the new investment through the purchase of the preferred stock.
Recap Financial Ventures is a locally led investor group formed to recapitalize the financial institution and position it for long-term growth while maintaining local ownership and decision-making. The investors also announced the bank would be renamed as part of the acquisition.
Paul “PJ” Pratt, Jr., a principal of Recap Financial Ventures and longtime Williamson County financial services executive, said the investment reflects the group’s belief in the importance of strong community banks. Pratt, along with Pamela Stephens and Wesley Finch, are the three founders and principals of Recap Financial Ventures.
“Williamson County has experienced extraordinary growth over the past several decades, and strong locally focused financial institutions are an essential part of that success,” Pratt said. “Every great community has a great community bank laser focused on the needs of its customers. Our goal is to ensure this bank has the capital, leadership, and community focus necessary to serve businesses and families across this region for many years to come.”
Stephens, also a longtime business leader in Williamson County, said the new ownership group sees the investment as a long-term commitment to the community.
“Community banks play an important role in the health of local economies,” Stephens said. “This investment reflects our belief that locally owned institutions can provide the relationship-driven banking that small businesses and families depend on.”
Finch, who has a long history as a financial services executive with ties to banks across the country, said the transaction positions the institution for future growth.
“Middle Tennessee continues to be one of the most dynamic economic regions in the country,” Finch said. “We believe this investment creates an opportunity to build a strong community banking platform that supports entrepreneurs, local businesses, and the broader regional economy.”
The investment follows a capital raise by Lineage Financial Network that brought new investment from local partners while allowing existing shareholders to retain their common shares of Lineage Financial Network, Inc. The additional capital supports the institution’s continued focus on traditional community banking.
Recap Financial Ventures was advised in the acquisition by Spencer Fane LLP, previously Bone McAllester Norton, and Bank Advisors Limited.
